# Terms of service

> The terms that govern your use of Contengi, the content platform operated by Energy and Matter.

Source: https://contengi.com/terms

Last updated: 12 October 2026

These terms replace the terms dated 1 May 2026. They apply to new accounts from 12 October 2026. If you already had an account on that date, they apply to you from 12 November 2026, and the previous terms apply until then (clause 20).

## 1. About Contengi and these terms

1.1 Contengi is operated by Energy and Matter, a sole proprietorship (eenmanszaak) owned by Stefan Maritz, registered with the Netherlands Chamber of Commerce (KVK) under number 90743296, at Malmedystraat 17, 4826 NG Breda, the Netherlands ("Energy and Matter", "we", "us").

1.2 These terms apply to every offer, subscription, and use of Contengi. By ticking the box at sign-up, or by creating an account, you accept these terms. We make them available before you sign up, on this page, in a form you can save and print.

1.3 Your own purchase or general terms do not apply.

1.4 These terms work together with our [Privacy policy](https://contengi.com/privacy). If there is a conflict, this order applies: (a) a separate signed agreement or order form, such as a Whitelabel agreement, (b) these terms, (c) the Privacy policy. The beta agreement is covered by clause 4.4.

1.5 If any provision is void or annulled, the rest stays in force. We will replace that provision with a valid one that comes as close as possible to its purpose.

## 3. Who can use Contengi

3.1 You must be at least 18 years old to create an Account.

3.2 Contengi is built for businesses and professionals, and is open to both business customers and consumers. Our sign-up asks for your company. If you sign up as a consumer, tell us at [stefan@contengi.com](mailto:stefan@contengi.com) and the consumer clauses in these terms apply to you. Where these terms treat the two differently, the clause says so. Nothing in these terms takes away rights a consumer has under mandatory law, including the law of the EU country where the consumer lives.

3.3 If you sign up for an organisation, you confirm you are authorised to bind it. The organisation is then the customer.

3.4 You must give accurate sign-up and billing details and keep them up to date.

## 4. The Service

4.1 Contengi is an agentic content platform. It includes content agents (such as the SEO blog writer and the social post, PR, and thought-leadership writers), a marketing assistant, a content library and CMS, workflows and automations, notes, LLM visibility tracking, image generation, brand knowledge base management, website and LinkedIn publishing, and a connector for using Contengi from your own Claude. Features may change under clause 13.

4.2 **Your own AI keys.** Writing and editing features run on your own Anthropic API key. Voice features, where available, run on your own Deepgram API key. You are responsible for those accounts, their terms, and any costs charged there. We store your keys encrypted and use them only to run features you start.

4.3 **AI we run for you.** Some features run on Contengi's own AI accounts, including the marketing assistant, the writing quality check, image generation, and LLM visibility scans. These are included in your Subscription, within any usage limits shown in the app. The providers we use are listed in the Privacy policy.

4.4 **Beta.** Contengi is currently offered as a beta, and some features may be marked beta or early access. Beta features may be incomplete, may change, or may be withdrawn. We still provide them with care, and the rest of these terms apply to them. If you joined through our beta programme, the beta agreement you signed explains how the beta works and what we ask of you. Where it conflicts with these terms, these terms apply, unless the beta agreement is more favourable to you.

4.5 **Setup support.** Where your plan includes help setting up your knowledge base or onboarding your team, we provide it with care and to the best of our ability (inspanningsverplichting). We do not promise a specific business result.

## 5. Accounts and team access

5.1 You are responsible for keeping your login details and API keys secure, and for everything done through your Account. Tell us at once at [stefan@contengi.com](mailto:stefan@contengi.com) if you suspect unauthorised access.

5.2 You may invite your own team members, employees, and contractors who work for you. You are responsible for their use of the Service and for making sure they follow these terms.

5.3 You may not resell the Service, give access to people outside your team, or use Contengi to deliver services to your own clients under a different brand, unless you have a separate Whitelabel agreement with us.

5.4 We are not liable for loss caused by misuse of your login details or API keys, unless the misuse results from our own breach of these terms.

## 6. Subscriptions, fees, and payment

6.1 **Price.** The price, currency, and billing period of your Subscription are shown at checkout. Prices on our website exclude VAT. VAT is calculated at checkout based on your billing country, and you see the full price, including VAT, before you pay. Business customers can enter a VAT number for the reverse charge.

6.2 **Billing.** We bill in advance at the start of each billing period, through our payment processor Stripe or another payment method we agree with you. You authorise us to charge your payment method on each renewal date. Costs you incur with Anthropic, Deepgram, or other providers under your own keys are billed by them, not by us.

6.3 **Renewal.** Your Subscription renews automatically for the same billing period until you cancel. You can cancel at any time by email to [stefan@contengi.com](mailto:stefan@contengi.com), effective at the end of the current billing period. We confirm your cancellation by email. A monthly Subscription is never renewed for longer than one month at a time.

6.4 **No partial refunds.** When you cancel, you keep access until the end of the period you paid for. We do not refund unused parts of a period. This does not affect a consumer's right of withdrawal (clause 14.3), a refund under clause 13.4, or any other refund required by law.

6.5 **Price changes.** We may change our prices at most once a year, with at least 30 days' notice by email. The new price applies from your next billing period after that notice. If you do not accept it, you may cancel before it takes effect and you will not be charged the new price.

6.6 **Late payment.** If a payment fails, we will notify you and retry. If it is still unpaid 14 days after our reminder, we may suspend your Account until payment is received. Business customers owe statutory commercial interest (art. 6:119a Dutch Civil Code) and reasonable collection costs on overdue amounts. Consumers owe statutory interest (art. 6:119) and collection costs only after a free reminder giving at least 14 days to pay, as Dutch law requires.

6.7 Business customers may not set off or withhold payments.

## 7. Your content and ownership

7.1 **You own your content.** As between you and us, you own all Customer Content, including Output, to the extent the law allows rights in it. We claim no ownership.

7.2 **Our limited licence.** You give us a non-exclusive, worldwide, royalty-free licence to host, store, copy, process, and transmit Customer Content only as needed to (a) provide the Service to you, including sending it to the AI providers and integrations you use, (b) keep the Service secure, and (c) comply with the law. The licence ends when your Customer Content is deleted under clause 15.

7.3 **No AI training.** We do not use Customer Content, or any Google user data, to train, fine-tune, or improve AI or machine-learning models. Our AI providers process it under their own API terms, and the Privacy policy says which of them do so with zero data retention. We may use anonymised, aggregated usage statistics (such as token counts and feature use) that do not identify you, to run and improve the Service.

7.4 **Your responsibility.** You confirm you have the rights and consents needed to put Customer Content into Contengi and to let us process it under these terms. This includes transcripts and recordings of other people.

7.5 **Our property.** We and our licensors keep all rights in the Service, including its software, agents, workflows, playbooks, prompts, templates, and documentation. You receive a non-exclusive, non-transferable right to use the Service during your Subscription. You may not copy, reverse-engineer, scrape, or use the Service, or its prompts and workflows, to build a competing product or to train AI models.

7.6 **Feedback.** If you send us ideas or suggestions, we may use them freely without any obligation to you.

## 8. AI Output

8.1 **AI can be wrong.** Output may be inaccurate, incomplete, out of date, or similar to content generated for others, and the same input can give different Output each time. Output is not legal, financial, medical, or other professional advice.

8.2 You are responsible for reviewing, editing, and fact-checking Output before you publish or rely on it. That includes checking that it does not infringe anyone's rights, mislead readers, or break laws that apply to you, such as advertising and consumer-protection rules.

8.3 **AI labelling.** Since 2 August 2026, Article 50(4) of the EU AI Act requires anyone publishing AI-generated text to inform the public on matters of public interest to disclose that it is AI-generated, unless it has had human review and someone takes editorial responsibility for it. When you publish Output, you are responsible for meeting this and any other labelling rules that apply to you.

8.4 Where Contengi publishes for you, for example to your website or LinkedIn, it does so only when you choose to publish or schedule, or when an automation you set up runs. The published content is your content.

## 9. Acceptable use

9.1 You may not use Contengi to:

- create or publish content that is illegal, defamatory, discriminatory, harassing, or infringes someone else's rights
- deceive people, including fake reviews, impersonation, disinformation, or content attributed to a real person without their permission
- send spam or unsolicited bulk messages
- process special categories of personal data (such as health data) or government identification numbers, unless we have agreed this in writing
- attack, overload, scrape, or reverse-engineer the Service, or get around its security, usage limits, or access controls
- break the usage policies of the AI providers and integrations you use, including Anthropic's usage policies and the terms of Google, Shopify, WordPress, Webflow, LinkedIn, and Deepgram

9.2 If we reasonably believe you are breaking this clause, or a third party or authority reports content of yours as illegal, we may remove or block that content, or suspend your Account, under clause 14.4. Where we can, we will ask you to fix it first. We have no duty to monitor content.

## 10. Integrations and third-party services

10.1 Integrations are optional. When you connect one, you authorise us to access and exchange data with that service on your behalf, within the permissions you grant. Your use of each service is governed by your agreement with its provider.

10.2 **Google.** If you connect Google Search Console or Google Analytics 4, we use read-only access to fetch your site's performance data when you use a feature that needs it. We show it to you and, when you run an AI feature, send only the specific figures needed to our AI providers to produce your result. We do not sell Google user data, use it for advertising, or share it with anyone else for their own purposes. Our use follows the [Google API Services User Data Policy](https://developers.google.com/terms/api-services-user-data-policy), including the Limited Use requirements. Details are in the Privacy policy.

10.3 **Publishing integrations.** Website integrations (such as Shopify, WordPress, and Webflow) and LinkedIn are used only to publish or schedule content you choose, or that an automation you set up produces. You can disconnect any integration at any time in your settings.

10.4 We do not control third-party services and are not responsible for their availability, security, or changes. If a provider changes or withdraws its service, we may have to change or stop the related feature. If that removes a material part of the Service, clause 13.4 applies.

## 11. Data protection

11.1 **Our own data.** We are the controller for your account, billing, and usage data. The Privacy policy explains how we handle it.

11.2 **Personal data in your content.** Customer Content may contain personal data of other people, such as names in transcripts, interviewees, or contacts in your knowledge base. For a business customer, the customer is the controller of that data and we are its processor. This clause 11 then forms the processing agreement required by Article 28(3) GDPR.

Element

What it covers

Subject and duration

Providing the Service, for as long as your Subscription runs plus the deletion period in clause 15

Nature and purpose

Storing, organising, and generating content with AI, and publishing it where you ask

Types of data

Names, contact details, voice recordings, transcripts, and other personal data you choose to add

Data subjects

Your staff, clients, interviewees, and other people mentioned in your content

11.3 As processor we will:

- process the data only on your documented instructions, which are these terms and your use of the Service, unless the law requires otherwise
- make sure everyone who processes it is bound to confidentiality
- take appropriate security measures, including encryption of stored API keys and access tokens (AES-256-GCM) and encryption in transit (TLS)
- use only the sub-processors listed in the Privacy policy, notify you of changes at least 14 days in advance, and let you object; if we cannot address a reasonable objection, you may cancel and receive a pro-rata refund
- transfer data outside the EEA only under an adequacy decision or Standard Contractual Clauses
- tell you without undue delay after we become aware of a personal data breach, and help you with any notification you must make
- help you, where reasonable, with data subject requests and data protection impact assessments
- delete or return the data at the end of the Service under clause 15
- give you the information you need to show we meet Article 28 GDPR

11.4 You confirm you have a lawful basis to put personal data into Contengi and to have us process it.

## 12. Confidentiality

12.1 Each party keeps confidential the other's non-public information that it knows, or should reasonably know, is confidential. Your Customer Content is always confidential to us. Each party uses the other's confidential information only to perform these terms.

12.2 A party may disclose confidential information to its staff, contractors, and sub-processors who need it and are bound to confidentiality, or where a court, authority, or the law requires it. Where allowed, the party gives prior notice.

12.3 This does not apply to information that is or becomes public through no fault of the receiving party, was already lawfully known to it, or was independently developed.

12.4 These obligations continue for five years after your Subscription ends, and for as long as the law protects trade secrets.

## 13. Availability, support, and changes to the Service

13.1 We do our best to keep Contengi available and working, but we do not promise uninterrupted or error-free service. We have no service-level agreement unless one is agreed in writing.

13.2 We may take the Service offline for maintenance. We plan this for quiet times where we can, and give notice of planned downtime where practical.

13.3 We may improve and change the Service, including its features, AI models, and providers, for valid reasons such as security, legal changes, provider changes, or product development. Changes come at no extra cost to you, and we will tell you about changes that matter for how you use Contengi.

13.4 If a change significantly reduces what you can do with the Service, and it is not required by law, we will give you at least 30 days' notice where possible. You may then cancel with effect from the date of the change and receive a pro-rata refund of fees you prepaid for the period after it.

13.5 Support is provided by email at [stefan@contengi.com](mailto:stefan@contengi.com) on Dutch working days. We aim to reply within two working days.

## 14. Term, cancellation, suspension, and termination

14.1 Your agreement with us starts when you create an Account and runs until it is cancelled or terminated.

14.2 **Cancelling.** You can cancel at any time under clause 6.3, by a short email. Cancelling is never harder than signing up.

14.3 **Consumers: 14-day right of withdrawal.** If you are a consumer, you may withdraw from your Subscription within 14 days of signing up without giving a reason. Use the [Withdraw from contract here](https://contengi.com/withdraw) function, linked in the footer of contengi.com, or email [stefan@contengi.com](mailto:stefan@contengi.com). We confirm receipt by email straight away. If you asked us to start the Service during those 14 days, you pay a proportionate amount for the days you had access, and we refund the rest within 14 days of your withdrawal, to the payment method you used.

14.4 **Suspension.** We may suspend all or part of your Account if (a) a payment is overdue under clause 6.6, (b) you seriously or repeatedly break clause 9, (c) your use creates a security risk for the Service or other customers, or (d) the law or an authority requires it. Where practical we give notice first, and we restore access once the issue is resolved.

14.5 **Termination for breach.** Either party may terminate if the other fails to meet an essential obligation and does not remedy it within a reasonable period, of at least 14 days, after a written notice of default describing the breach. Notice is not needed if remedy is impossible or the breach is serious, such as using the Service for illegal purposes.

14.6 Either party may terminate with immediate effect if the other (being a business) is declared bankrupt or granted a suspension of payments.

14.7 We may also end your Subscription without a reason by giving at least 30 days' notice, with a pro-rata refund of prepaid fees for the period after it ends.

14.8 When the agreement ends, your access stops and clause 15 applies to your data. Amounts already due remain payable, except where these terms give a refund. Clauses that by their nature continue, such as 7, 12, 16 to 18, and 22, survive.

## 15. Data export, switching, and deletion

This clause gives you the switching rights of Chapter VI of the EU Data Act (Regulation 2023/2854). We charge nothing for exporting or switching.

15.1 **Export at any time.** You can copy your content out of Contengi at any time. You can also ask us by email for a full export of your Customer Content, and we send it within 14 days in commonly used, machine-readable formats (such as Markdown, HTML, and JSON).

15.2 **Switching request.** You may ask us by email to help you move your data to another provider or your own systems, to delete it, or both. The notice period for starting this is at most two months, and we will usually start straight away.

15.3 **Transition period.** The transition lasts at most 30 days. During it, we keep providing the Service with the same security, give you the information and reasonable help you need for your exit, and tell you about any known risks to continuity. If 30 days is technically not feasible, we will tell you within 14 working days of your request and propose an alternative transition period of up to seven months. You may extend the transition period once if you need more time.

15.4 **Retrieval period.** After the transition, or after your Subscription ends for any other reason, you can still retrieve your Customer Content for at least 30 days.

15.5 **Deletion.** After the retrieval period, or within 30 days if you delete your Account yourself, we permanently delete your Customer Content, tokens, and keys, unless the law requires us to keep something. Copies in backups are deleted in the normal backup cycle and are kept confidential until then.

15.6 Content you have already published to other platforms, such as LinkedIn or Shopify, stays there. You can delete it on those platforms.

## 16. Warranties and disclaimers

16.1 We provide the Service with care and to the best of our ability. Apart from what these terms expressly say, and to the extent the law allows, we give no further guarantees, for example that the Service will meet your specific business goals, that Output will be accurate or rank in search, or that third-party services will stay available.

16.2 Consumers keep their statutory right to a Service that conforms to the contract (Title 1A of Book 7 Dutch Civil Code). Nothing in these terms limits that right.

## 17. Liability

17.1 **Cap.** Our total liability for all claims arising from these terms or the Service, on any legal basis, including breach of contract, tort, and any indemnity, is limited to the fees you paid us in the 12 months before the event that caused the damage.

17.2 **Direct damage only.** We are liable only for direct damage. Direct damage means: (a) reasonable costs to make our performance conform to these terms, (b) reasonable costs to establish the cause and extent of the damage, and (c) reasonable costs to prevent or limit damage covered by this clause.

17.3 **Excluded.** We are not liable for indirect or consequential damage, lost profit, lost revenue or savings, loss of goodwill, business interruption, claims by your clients or readers, or damage caused by Output you published, by third-party services, or by your own API keys or provider accounts.

17.4 **What is never limited.** The limits in 17.1 to 17.3 do not apply to damage caused by intent or deliberate recklessness (opzet of bewuste roekeloosheid) of Energy and Matter, to death or personal injury, or where mandatory law does not allow a limit.

17.5 **Consumers.** For consumers, 17.1 to 17.3 apply only to the extent Dutch law and the mandatory law of the consumer's country allow.

17.6 **Notice.** Except where performance is permanently impossible, we are liable for a failure only after you send a written notice of default describing the failure in detail and giving us a reasonable period to remedy it, and we still fail. Report any damage to us in writing as soon as possible.

17.7 Business customers: any claim for damages against us lapses 24 months after it arises, unless legal proceedings have started before then.

17.8 These limits also protect the people and companies we engage to provide the Service.

## 18. Indemnities

18.1 **By business customers.** A business customer indemnifies us against third-party claims, and reasonable costs of defending them, to the extent they arise from its Customer Content, from content it publishes using Contengi, or from its breach of clause 9 or of the law.

18.2 **By us.** We will defend a business customer against a third-party claim that the Contengi software itself, used as these terms allow, infringes that party's intellectual property rights, and pay damages finally awarded or settled by us. This does not cover Output, Customer Content, third-party services, or combinations with things we did not supply. We may instead change the Service to remove the infringement, or end the affected Subscription with a pro-rata refund. Clause 17 applies to this indemnity.

18.3 The indemnified party must notify the other promptly in writing, leave the defence and any settlement to the indemnifying party, and give reasonable help.

18.4 Clause 18.1 does not apply to consumers.

## 19. Force majeure

19.1 Neither party has to meet an obligation, other than payment, while prevented by circumstances beyond its reasonable control (overmacht). For us these include failures or outages of our hosting and AI providers and other suppliers, power and internet failures, cyberattacks, government measures, war, strikes, and pandemics.

19.2 If force majeure lasts more than 60 days, either party may terminate in writing. You then pay only for the Service provided, and we refund fees prepaid for the period after termination.

## 20. Changes to these terms

20.1 We may change these terms for valid reasons, such as new features, legal changes, or changes in our providers. We will email you about material changes at least 30 days before they take effect and show the date of the latest version at the top.

20.2 If you do not accept a material change, you may cancel before it takes effect. You will not be bound by the change, and you receive a pro-rata refund of fees prepaid for the period after it. If you keep using Contengi after the effective date, the new terms apply.

20.3 Changes needed only to comply with the law, or that are purely in your favour, may take effect sooner.

## 21. General provisions

21.1 **Assignment.** You may not transfer your rights or obligations under these terms without our consent. We may transfer the agreement, with notice to you, to a company that takes over Contengi, for example if the business moves into a B.V. Consumers keep the right to cancel if they do not accept the new provider.

21.2 **Notices.** We send notices to the email address on your Account. You send notices to [stefan@contengi.com](mailto:stefan@contengi.com) or by post to the address in clause 1.1. Email counts as written notice.

21.3 **Publicity.** We will not name you or show your logo as a customer without your permission.

21.4 **Entire agreement.** These terms, the Privacy policy, and any separate signed agreement are the whole agreement about the Service.

21.5 **No waiver.** If we do not enforce a right straight away, we do not give it up.

21.6 **Language.** These terms are written in English. If we publish a translation, the English version prevails, except where mandatory consumer law requires otherwise.

## 22. Governing law and disputes

22.1 Dutch law governs these terms. The UN Convention on Contracts for the International Sale of Goods (CISG) does not apply. Consumers living in another EU country keep the protection of the mandatory consumer law of that country.

22.2 **Complaints first.** Send any complaint to [stefan@contengi.com](mailto:stefan@contengi.com) with a clear description. We confirm receipt and aim to give a full answer within 14 days.

22.3 **Business customers.** Disputes go exclusively to the District Court of Zeeland-West-Brabant, location Breda (Rechtbank Zeeland-West-Brabant), unless the law requires a different court.

22.4 **Consumers.** Consumers may bring disputes before the court that has jurisdiction under the law, including the court where they live.
